1. Acceptance of Terms
By accessing or using the services provided by XpediaLab ("Company," "we," "us," or "our"), including our website, digital products, software development, AI engineering, cloud architecture, and any related services, you agree to be bound by these Terms & Conditions. If you do not agree with any part of these terms, you must discontinue use of our services immediately.
2. Services Overview
XpediaLab provides the following professional services:
- Web Development — Full-stack web application design and development using modern frameworks.
- Mobile App Development — Native and cross-platform mobile applications for iOS and Android.
- AI & Machine Learning — Custom AI model development, LLM integration, and intelligent automation.
- Cloud & DevOps — Cloud architecture, deployment, scaling, and infrastructure management.
- UI/UX Design — User interface and experience design for digital products.
The scope, timeline, deliverables, and pricing of each engagement shall be defined in a separate Statement of Work (SOW) or project agreement signed by both parties.
3. Client Obligations
Clients agree to:
- Provide accurate, complete, and timely information required for project execution.
- Designate a single point of contact authorised to approve deliverables and change requests.
- Review and provide feedback on deliverables within the timelines specified in the SOW.
- Ensure all content, assets, and materials provided to XpediaLab do not infringe upon third-party intellectual property rights.
4. Payment Terms
- All project engagements require a non-refundable advance payment of at least 30% before work commences, unless otherwise agreed in writing.
- Milestone-based payments are due within 7 business days of milestone completion and client approval.
- Final payment must be made before the handover of source code, deployment credentials, or final deliverables.
- Late payments beyond 15 days may incur interest at a rate of 1.5% per month or the maximum rate permitted by law.
- All prices are quoted in USD unless otherwise specified. Applicable taxes are additional.
5. Intellectual Property
Upon full and final payment, all custom code, designs, and deliverables created specifically for the client's project shall be transferred to the client, unless otherwise stated in the SOW.
XpediaLab retains the right to:
- Use general knowledge, techniques, and skills acquired during the project.
- Reuse proprietary frameworks, libraries, and tools developed internally.
- Showcase the project (without confidential information) in our portfolio, unless a Non-Disclosure Agreement (NDA) has been executed.
6. Confidentiality
Both parties agree to maintain the confidentiality of all proprietary information shared during the engagement. Confidential information includes, but is not limited to, business strategies, technical documentation, user data, source code, and financial information. This obligation survives the termination of the engagement for a period of two (2) years.
7. Project Changes & Scope Modifications
Any changes to the agreed scope of work will be handled through a formal Change Request process. Additional features, modifications, or revisions beyond the agreed scope may result in adjustments to the timeline and cost, which must be approved in writing before implementation.
8. Warranties & Disclaimers
XpediaLab warrants that all services will be performed in a professional and workmanlike manner consistent with industry standards. We provide a 30-day bug-fix warranty after project delivery for defects directly attributable to our work.
We do not warrant that software will be entirely free from errors or that it will operate uninterrupted. Services are provided "as is" beyond the warranty period. XpediaLab shall not be liable for third-party service outages, API changes, or platform deprecations beyond our control.
9. Limitation of Liability
In no event shall XpediaLab's total liability exceed the amount paid by the client for the specific project giving rise to the claim. XpediaLab shall not be liable for any indirect, incidental, consequential, or punitive damages, including loss of profits, data, or business opportunities.
10. Termination
Either party may terminate the engagement with 15 days' written notice. Upon termination:
- The client shall pay for all work completed up to the termination date.
- XpediaLab shall deliver all completed deliverables and work-in-progress upon receipt of payment.
- The advance payment is non-refundable once work has commenced.
11. Governing Law
These Terms & Conditions shall be governed by and construed in accordance with the laws of the State of New York, United States, without regard to its conflict of law provisions. Any disputes arising from these terms shall be resolved through binding arbitration in New York.
